Client Partnership Agreement

This agreement is entered into and made effective as on <weekday> __ day of <month>, <year> between Stylus Systems (Pvt) Ltd, located at # 924, 5 th A Cross, 1 st Block, HRBR Layout, Kalyan Nagar, Bangalore - 560043 INDIA herein referred to as "BeakWare" and represented by its CEO, Vinny Alex , and ________________ <CLIENT>_____<address>_________ herein after referred to as "CLIENT" and represented by _________<CLIENT Name>__________. Whereas "BeakWare" is engaged in the business of ______________________________________________ Whereas the "CLIENT" has approached "BeakWare" to do work on __________________________________ and "BeakWare" has agreed to do so.

Description of the Job - "BeakWare" agrees to offer the requested services and <________________> for the CLIENT according to the specifications provided and mentioned in Schedule A

Ownership of Copy Rights -

The CLIENT will be the owner of all codes created and developed by COMPANY for the CLIENT needs. Consequently, COMPANY transmits to the CLIENT all rights regarding the exploitation, copy, representation, use and trading, in the most extensive way, transferring to the CLIENT all rights, covering the appropriate legal time period of protection, in every country in which such rights are enforceable and for all the applications managed directly or indirectly by the CLIENT.

NOW, THEREOF, in consideration of the covenants and agreements set forth herein, hereby acknowledged in their entity by the parties to this agreement, the parties hereto agree as follows:

Duration and Acceptance

The services shall commence from <date> for a period of < > BeakWare shall render services unless the services are accepted in writing or unless this agreement is terminated. If CLIENT does not, in its reasonable opinion, believe that the works are completed, CLIENT must notify BeakWare within < > working days of the delivery of the works by the consultant. Otherwise, CLIENT shall provide written confirmation of their acceptance of the works within < >days of the delivery of the works by the BeakWare. In case the client does not provide a written confirmation within 15 days from the delivery of the works, the works would be considered to be accepted by the CLIENT.
